1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of tensor.cx ("Service"), operated by Tensor Cortex LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
tensor.cx is a web application that allows users to upload documents and search them using AI-powered natural language queries. The Service processes uploaded documents by extracting text and using third-party AI models to make them searchable and generate answers with citations from your document content.
The Service is provided on an "as-is" and "as-available" basis. Features, functionality, and availability may change without prior notice.
3. Accounts and Registration
You may use certain features of the Service without creating an account. To access additional features (e.g., claiming workspace ownership, subscribing to paid plans), you must register for an account through our authentication provider.
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account.
4. User Content
4.1 Ownership
You retain all ownership rights in the documents and content you upload to the Service ("User Content"). We do not claim any ownership over your User Content.
4.2 License Grant
By uploading User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, extract text from, and otherwise use your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your User Content from the Service.
4.3 Your Responsibilities
You represent and warrant that:
- You have all necessary rights and permissions to upload and process the User Content.
- Your User Content does not infringe upon the intellectual property or other rights of any third party.
- Your User Content does not violate any applicable law or regulation.
- Your User Content does not contain malware, viruses, or other harmful code.
4.4 Shared Workspaces
Each workspace has a unique URL that can be shared with others. Anyone with the workspace URL may be able to query the documents within that workspace, depending on visibility settings. You are responsible for managing access to your workspaces and the sensitivity of the documents you upload to them.
5. Acceptable Use
You agree not to use the Service to:
- Upload, transmit, or process any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
- Upload content that contains personally identifiable information of others without their consent.
- Infringe upon any third-party intellectual property rights.
- Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
- Use the Service for any illegal purpose or in violation of any applicable law or regulation.
- Interfere with or disrupt the Service or the servers or networks connected to the Service.
- Use automated means (bots, scrapers, crawlers) to access the Service beyond what is permitted by the API, if any.
- Attempt to reverse engineer, decompile, or disassemble any part of the Service.
- Circumvent or attempt to circumvent usage limits, rate limits, or other restrictions.
- Resell, sublicense, or redistribute the Service without our written consent.
We reserve the right to suspend or terminate your access if we reasonably believe you have violated these Terms.
6. Subscription Plans and Payment
6.1 Plans
The Service offers free and paid subscription tiers. Each tier provides different limits on workspace count, documents per workspace, daily queries, and maximum file size. Current plan details are available on our Pricing page.
6.2 Billing
Paid subscriptions are billed monthly in advance through Stripe. By subscribing, you authorize us to charge the applicable subscription fee to your chosen payment method on a recurring monthly basis until you cancel.
6.3 Cancellation
You may cancel your subscription at any time through the Stripe Customer Portal accessible from your account settings. Upon cancellation, you will retain access to your paid plan features until the end of your current billing period, after which your account will revert to the free tier. Existing workspaces and documents that exceed free-tier limits will remain accessible but you may not be able to create new ones beyond the free-tier limits.
6.4 Refunds
Subscription fees are generally non-refundable. However, if you experience a significant service disruption or billing error, you may contact us at hello@tensor.cx and we will review your request on a case-by-case basis.
6.5 Price Changes
We reserve the right to change our subscription fees. We will provide at least 30 days' notice before any price increase takes effect. Your continued use of the Service after the price change constitutes your acceptance of the new fees.
7. AI-Generated Content
The Service uses third-party AI models to generate search answers based on your uploaded documents. You acknowledge and agree that:
- AI-generated responses are provided for informational purposes only and should not be relied upon as professional, legal, medical, financial, or other specialized advice.
- AI-generated content may contain errors, inaccuracies, or omissions. You are responsible for independently verifying any information before acting on it.
- We do not guarantee the accuracy, completeness, or reliability of any AI-generated responses.
- The quality of AI-generated answers depends on the content of your uploaded documents and the queries you submit.
8. Third-Party Services
The Service relies on third-party providers for core functionality, including authentication (Clerk), payment processing (Stripe), AI processing (OpenAI), file storage (Cloudflare), and analytics (Microsoft Clarity). Your use of the Service is also subject to the terms and policies of these providers.
We are not responsible for the availability, accuracy, or practices of these third-party services. Any disruption to a third-party service may affect the functionality of tensor.cx.
9. Intellectual Property
The Service, including its design, code, features, logos, and documentation (excluding User Content), is the property of Tensor Cortex LLC and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.
We make no representations about the suitability, reliability, or accuracy of the Service, including any AI-generated content, for any purpose. Your use of the Service is at your sole risk.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Tensor Cortex LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Tensor Cortex LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.
14. Termination
We may suspend or terminate your access to the Service at any time and for any reason, including but not limited to a violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately.
You may stop using the Service at any time. If you wish to delete your account and all associated data, please contact us at hello@tensor.cx.
Sections that by their nature should survive termination will survive, including but not limited to ownership, warranty disclaimers, indemnification, and limitations of liability.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration conducted in English in the State of Delaware.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after the revised Terms are posted constitutes your acceptance of the changes.
17. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tensor Cortex LLC regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
- Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet service interruptions, or third-party service outages.
